Position Summary

We are currently looking for associates with experience in equity Capital Markets to join several of our U.S. offices.

As well as excellent academic credentials, you should possess the analytical rigor to grasp the legal intricacies of complex, cross-border disputes, across a wide range of matters. You will demonstrate excellent communication skills, and can expect extensive client contact from the start. Organized and meticulous, you will demonstrate a talent for legal drafting, and be comfortable working from wide variety of material, from company board minutes to complex covenant and negotiation documentation.

Committed and personable, you should enjoy working within large groups of lawyers and industry professionals, and manage the interests of all stakeholders, who will include leading financial institutions as well as some of the fastest-growing companies worldwide. This collaborative mindset should be balanced by the independence of thought and action—an ability to proactively anticipate clients’ needs and craft creative solutions to their problems.

Keeping abreast of regulatory changes as well as the wider economic climate, you will also be adept at distilling complex information into clear, insightful analyses that inform and strengthen your client’s position. Strong organizational and time management skills will also be significant assets, enabling you to manage multiple workstreams and produce exceptional work to tight deadlines.

Our Practice Area

Our clients choose the Capital Markets team for our ability to navigate every complexity of evolving markets and ever-changing products. We have an outstanding track record of ground breaking capital markets advice in mature and growth markets. We expect that regular travel, often to conduct due diligence work in clients’ home locations, will be a feature of every associate’s role once business travel returns to normal.

When needed, we act fast and deliver results, and associates can expect to work on multiple deals, typically over intensive 6-8 week timescales. We are trusted advisors to the world’s leading financial institutions, largest corporations, sovereign governments, and multinational corporates.

Working in this group, associates develop an extremely broad knowledge of industries and sectors, ranging from complex transnational infrastructure financings to sophisticated solutions for banking institutions. You will gain experience of a wide range of high-value capital markets transactions, including equity capital markets transactions, initial public offerings, 144A and Regulation S offerings, private placements and liability management.

The work can be demanding, but is always rewarding and we offer excellent opportunities for learning and development. The Capital Markets section prides itself on a culture of collaboration and training.

Qualifications

* 3+ years of experience in equity Capital Markets transactions

* Preferred experience includes the representation of issuers or underwriters in initial public offerings, public company disclosure obligations, and corporate governance matters

* Experience with SPAC transactions is a plus

* Experience training junior associates and assisting Senior Associates and Partners to manage transactions from commencement to completion

* Strong academic record and intellectual curiosity, creative thinker

* Commercial and business awareness

* Ability to see the big picture

* Outstanding communication and negotiation skills

* Strong time management skills, ability to stay calm under pressure when juggling multiple projects
