My Client is looking for a commercial contracts solicitor to join our Commercial Team within the Corporate Group. As a guide they would consider someone with 1-5 PQE or more as having appropriate experience. The role is purely non-contentious. They need an assistant solicitor to take on a wide variety of contract work to support the continued development of the practice.
The Commercial Team currently consists of one partner and two solicitors and the Gatwick Corporate Group as a whole has five partners, five solicitors and two trainees.
The majority of clients are mid-sized owner-managed businesses and subsidiaries of overseas groups and local authorities but also include start-up businesses to major quoted companies. They have substantial involvement in their clients' businesses and the individual can expect to develop good working relationships with clients from an early stage.
My client is committed to being a leading firm, through valuing clients and colleagues. The group tends to win work historically done by mid-sized London firms, through quality, personal relationships and lower overheads. The provision of training in professional and personal development is an important part of the firm's success. They have a clear career structure, and there would be good opportunities at the firm for the right person.
1. Responsibilities and Duties
2. The individual will work within a team of one partner and one other solicitor.
3. The partner in this area will expect to delegate substantial amounts of work in commercial contracts, corporate support, IT/IP and general business advice.
4. Work is highly varied. The primary focus of this role is general commercial contracts for commercial clients and local authority clients covering supply and distribution arrangements, terms of sale and purchase, manufacturing agreements and data protection advice.
5. The individual will also work closely with the Group's corporate practice when necessary and will be responsible for managing transaction due diligence, and will be involved in, for example, joint venture arrangements, shareholder agreements, company formations and partnerships.
6. The workload in the team also includes a lot of IT/IP issues and the individual will have the opportunity to get involved where s/he has experience or interest, including software development, licensing and publication, IT procurement, internet and ecommerce issues, IP advice, media agreements, sponsorship agreements and competition law.
7. In the medium term, the individual will be expected to become involved in business development responsibilities, such as contributing to publications, pitching to clients, and speaking at seminars.
8. Knowledge, Skills and Experience Required
9. Good experience of general commercial contracts is a necessity as is contract drafting.
10. A strong academic background is important, as is a desire to build a career in the Gatwick area.
11. A commercial approach to advice and negotiations is also important.
12. Experience of the following is desirable but is not a requirement:
13. public sector procurement regulations;
14. corporate support / due diligence;
15. IT and intellectual property issues;
16. shareholder, investment, joint venture agreements, partnership issues and company formations.
17. A willingness to contribute to business development is essential. Any track record in this respect will be helpful.
