Job Description
A recognised market leader both in capital markets and derivatives are looking for lawyers with 2-3 PQE to join their pre-eminent Structured Solutions Team within their Capital Markets Practice.
The Capital Markets Group of which the Structured Solutions Team is an integral part provide hedging and derivatives support to the groups structured debt, debt and equity and trusts practices. The team also undertakes its own transactions in credit risk mitigation, OTC derivative transactions, stock lending, repos and prime brokerage, as well as working with other departments throughout the firm in the areas of commodity financing and trading, OTC derivatives documentation, collateralisation and netting.

Key Responsibilities
- Advise clients in all of the following aspects of derivatives:
- Hedging of securitisation issues of RMBS, CMBS, Automobile loans, consumer finance, whole business securitisations, CDOs and CLO
- Synthetic securitisations, synthetic CLOs and CDOs, CLNs, ABS funding structures, multi issuer and multi-tranche issuance programmes, and regulatory capital efficient funding structures
- Stock lending, repurchase agreements, prime brokerage, custody and settlement arrangements and structured equity financing
- Credit spread auctions, hedging and structured trading lines in relation to asset and project financing, real estate financing, energy and commodities transactions
- Hedging of global and MTN programmes, Eurobonds, international equity offerings, convertibles and GDRs
- Commodity trading and financing, weather and catastrophe derivates, longevity and mortality derivatives
Skills and Qualifications
- Lawyers with junior to mid-level derivative and structured finance experience, that have worked extensively with and be very familiar with the following:
- ISDA master agreements, ISDA credit support documents, ISDA interest rate, FX, credit derivative and equity confirmations
- Global Master Securities Lending Agreements and Global Master Repurchase Agreements, repos, buybacks/sellbacks and stock loans
- Collateralisation techniques including margining, outright transfer, charges, pledges and flawed asset provisions
- The principles of netting and set-off and their application in financing transactions
- Securitisation/repackaging structures, debt issuance structures, the IPO process
In addition, experience in the following would be an advantage:
- Credit default swaps, CLNs, synthetic CLOs, CDOs
- Capacity and authority and enforceability opinions
- Commodity trading/commodity derivatives
- Prime brokerage agreements, monetisation structures, margin lending
- An outstanding academic history and proven first rate legal skills
- Strong commercial pragmatism
- Excellent transactional and advisory drafting skills
