Unit
We are seeking a Partner/Partner designate to join our Corporate and Financial Institutions Department, to specialise in funds work.
The non-contentious funds and financial services practice at Burges Salmon focuses on the provision of advice to a wide range of regulated businesses, encompassing the full range of retail funds work, with an increasing focus on unregulated and property funds, as well as general regulatory compliance.
Our top tier (Chambers and Partners) corporate finance practice is regarded as a specialist in the sector and the funds and financial services team also supports numerous transactions in this area.
Due to the strength of the practice and a number of further client wins, the team is looking to expand with excellent opportunities for those wishing to make their mark.
Work
Despite the turmoil in the financial services sector over the last couple of years we have continued to advise clients on the design, establishment and launch of new financial products and services. Our clients include banks, building societies, asset managers, stockbrokers, financial advisers and other distributors of financial services.
We combine our funds, regulatory and sector knowledge to deliver to our clients a whole host of legal services including product/service design and implementation, bespoke contractual arrangements, business organisation (including corporate matters) and transactions. Specifically our work over the last 12 months or so has included:
- acting for an international financial services group on the design and implementation of an innovative administration support structure for asset managers wishing to launch retail funds;
- acting for one of the largest banks in Europe on its custody and client money arrangements;
- advising various clients on the UK's regulatory regime and the need to obtain FSA authorisation (also advising on applications for FSA permissions);
- running and/or supporting corporate transactions in the financial services sector (including regulatory advice and FSA change of control applications);
- designing and establishing all types of fund structures - in particular, FSA regulated funds (UCITS etc);
- producing terms and conditions for investment products and services including asset management services, platforms, ISAs and SIPPs;
- conducting reviews of fund structures and negotiating improved terms for institutional investors;
- advising on the structuring, implementation and distribution of structured products;
- reviewing and drafting financial advisory network agreements and related contracts;
- drafting retail mortgage documentation and other consumer credit products.
Requirements
Expertise in property funds and unregulated funds at a leading practice is a key requirement. The ideal candidate would also have an in depth knowledge of private equity funds and carry structures and/or hedge funds. A desire to build on our excellent client base and existing practice will be important as is a proven ability to win new business and a following, depending on qualification.
