Our Social Housing Corporate team is nationally recognised as one of the top 3 in the country. Our client base nationally includes some of the largest not-for-profit organisations and housing providers in the UK, with asset bases worth billions of pounds and annual turnovers in the hundreds of millions. We specialise in high-value transactional work for our housing clients including mergers, acquisitions, restructuring and joint ventures. We also provide support to their Executive Teams and Boards on a range of critical business activities, their governance arrangements and engagement with their regulatory bodies. The work is high profile by its nature and involves engaging heavily with the “top table” of Boards and Executives on projects of strategic importance to them.
Recent examples of our work include:
A £250m development joint venture between one of the largest social housing providers in the country and a regional specialist housing provider in Manchester;
Consolidating a very large housing group of six companies down to a single entity, including advising on converting one group member to become a charity, transferring commercial activities around the group and structuring development activities;
Advising a housing provider on creating an innovative social investment fund aimed at offering finance to early stage and growing social businesses in the North West.
This is an excellent opportunity for an experienced Lawyer who would relish delivering high level counsel and advice to senior stakeholders across a prestigious portfolio of not for profit and housing clients. It is anticipated you will support clients in the following:
Corporate transactional matters including group structures, mergers and acquisitions, joint ventures and collaborations.
Commercial matters including contracts, commercial decision making and assessing risks.
Constitutional arrangements including advising on directors, trustees’ duties and responsibilities.
Working with our similarly high-profile Funding Team on major projects involving both corporate and funding matters including corporate restructuring, institutional and capital markets, development finance and intra-group lending.
To be successful in this role you will ideally have:
Sufficient experience to lead on a broad range of projects with little or no supervision.
A high level of comfort advising senior stakeholders across a variety of matters often requiring pragmatic/innovative solutions.
A desire to build a reputation in the housing and not for profit sectors although previous experience in these sectors is not essential.
Natural rapport building skills with the ability to inspire others.
A self motivated and proactive approach.
